Sta\u00adtus: 05. March 2018<\/strong><\/p>\n\n\n\n

1  Description of Services, Registration to the Portal and Conclusion of Contract<\/h2>\n\n\n\n

1.1  As a provider (here\u00adinafter referred to as \u201ceasy\u00adgrad\u00ading\u201d), Dr. Vik\u00adtor Bey\u00adfu\u00df pro\u00advides a job eval\u00adu\u00ada\u00adtion sys\u00adtem for com\u00adpa\u00adnies (here\u00adinafter referred to as \u201cCus\u00adtomer\u201d) on the inter\u00adnet of the address www.easygrading.de (here\u00adinafter referred to as \u201cPor\u00adtal\u201d). This is exclu\u00adsive\u00adly for com\u00adpa\u00adnies and not for con\u00adsumers. The Por\u00adtal and its func\u00adtions are described in the descrip\u00adtion of ser\u00advices at https:\/\/easygrading.de\/license-model (here\u00adinafter referred to as \u201cdescrip\u00adtion of services\u201d).<\/p>\n\n\n\n

1.2  The Cus\u00adtomer can only use the Por\u00adtal after pri\u00ador reg\u00adis\u00adtra\u00adtion. Upon reg\u00adis\u00adtra\u00adtion, the Cus\u00adtomer must also agree to these Gen\u00ader\u00adal Terms of Use (here\u00adinafter referred to as \u201cTerms\u201c) before using the Por\u00adtal. The Cus\u00adtomer must pro\u00advide truth\u00adful infor\u00adma\u00adtion dur\u00ading the reg\u00adis\u00adtra\u00adtion and usage of the Por\u00adtal. If these infor\u00adma\u00adtion change, the Cus\u00adtomer must update their data on the Por\u00adtal imme\u00addi\u00adate\u00adly. Each Cus\u00adtomer may only reg\u00adis\u00adter once on the Portal.<\/p>\n\n\n\n

1.3  The Por\u00adtal is used via the Inter\u00adnet. The Cus\u00adtomer is respon\u00adsi\u00adble for the access to he inter\u00adnet and any required soft\u00adware (e. g. brows\u00ader, plug-ins); they are not pro\u00advid\u00aded by easygrading.<\/p>\n\n\n\n

1.4  A Cus\u00adtomer can choose between a free tri\u00adal mem\u00adber\u00adship and paid sub\u00adscrip\u00adtions (here\u00adinafter referred to as \u201cBasic Ver\u00adsion\u201d and \u201cPro\u00adfes\u00adsion\u00adal Ver\u00adsion\u201d, each case a \u201cVer\u00adsion\u201d) with dif\u00adfer\u00adent scope of ser\u00advices. After com\u00adple\u00adtion of the reg\u00adis\u00adtra\u00adtion form by the Cus\u00adtomer, easy\u00adgrad\u00ading will send a con\u00adfir\u00adma\u00adtion of the reg\u00adis\u00adtra\u00adtion by email to the email address pro\u00advid\u00aded by the Cus\u00adtomer. If the Cus\u00adtomer con\u00adfirms the link pro\u00advid\u00aded in the con\u00adfir\u00adma\u00adtion email, the con\u00adtract for the sub\u00adscrip\u00adtion is con\u00adclud\u00aded based on the request made by the Customer.<\/p>\n\n\n\n

2  Term of contract and termination of contract<\/h2>\n\n\n\n

2.1  The Cus\u00adtomer\u2019s con\u00adtract for the use of the Por\u00adtal has a min\u00adi\u00admum term of twelve months. How\u00adev\u00ader, the Par\u00adties may also agree on a longer min\u00adi\u00admum con\u00adtract term of 24 or 36 months by an explic\u00adit agree\u00adment. The terms start upon trans\u00admis\u00adsion of an email in which easy\u00adgrad\u00ading informs the Cus\u00adtomer about his acti\u00adva\u00adtion for the Portal.<\/p>\n\n\n\n

2.2  The con\u00adtract shall be extend\u00aded auto\u00admat\u00adi\u00adcal\u00adly by incre\u00adments of each, twelve months unless ter\u00admi\u00adnat\u00aded giv\u00ading three months notice to the end of the cur\u00adrent con\u00adtract peri\u00adod, If dur\u00ading the term the Cus\u00adtomer changes the Ver\u00adsion they choosed, a new min\u00adi\u00admum term of twelve months com\u00admences as soon as the change is made in the Portal.<\/p>\n\n\n\n

2.3  Ordi\u00adnary ter\u00admi\u00adna\u00adtion is exclud\u00aded dur\u00ading the term of the Con\u00adtract. The right to ter\u00admi\u00adnate the con\u00adtract for good cause remains unaf\u00adfect\u00aded. The Cus\u00adtomer shall only be enti\u00adtled to ter\u00admi\u00adnate the con\u00adtract for good cause if easy\u00adgrad\u00ading does not enable the Cus\u00adtomer to use the Por\u00adtal in accor\u00addance with the con\u00adtract, even after expiry of a rea\u00adson\u00adable peri\u00adod of grace.<\/p>\n\n\n\n

2.4  Notice of ter\u00admi\u00adna\u00adtion must be giv\u00aden in text form.2.5  If the Cus\u00adtomer decides for a free tri\u00adal mem\u00adber\u00adship, it ends auto\u00admat\u00adi\u00adcal\u00adly at the end of the tri\u00adal peri\u00adod. The test mem\u00adber\u00adship can only be used once.<\/p>\n\n\n\n

3  Remuneration and terms of payment<\/h2>\n\n\n\n

3.1  The Cus\u00adtomer shall pay the agreed remu\u00adner\u00ada\u00adtion for the sub\u00adscrip\u00adtion used by them in accor\u00addance with easy\u00adgrad\u00ading\u2019s price list valid at the time of con\u00adclu\u00adsion of the contract.<\/p>\n\n\n\n

3.2  The remu\u00adner\u00ada\u00adtion must be paid in advance for the dura\u00adtion of the con\u00adtract and is due with\u00adout deduc\u00adtion upon receipt of the invoice sent by e\u2011mail.<\/p>\n\n\n\n

3.3  The Cus\u00adtomer is only enti\u00adtled to off\u00adset only if an to the extent the coun\u00adter\u00adclaims are legal\u00adly estab\u00adlished, rec\u00adog\u00adnized by easy\u00adgrad\u00ading or undis\u00adput\u00aded. This does not apply if the Cus\u00adtomer\u2019s claims for defects that are based on the same con\u00adtract. The Cus\u00adtomer is only enti\u00adtled to exer\u00adcise a right of reten\u00adtion if his coun\u00adter\u00adclaim is based on the same contract.<\/p>\n\n\n\n

4  Duties and obligations of the Customer<\/h2>\n\n\n\n

4.1  The Cus\u00adtomer may not trans\u00adfer their user account on the Por\u00adtal to any third par\u00adty. The Cus\u00adtomer will keep all access data (login and pass\u00adword) secret and may not pass them on to third par\u00adties. A dis\u00adclo\u00adsure of salary and clas\u00adsi\u00adfi\u00adca\u00adtion data to third par\u00adties is also not permitted.<\/p>\n\n\n\n

4.2  In the event of a vio\u00adla\u00adtion of these pro\u00advi\u00adsions, easy\u00adgrad\u00ading reserves the right to block or delete the Cus\u00adtomer access to the Por\u00adtal, includ\u00ading the Cus\u00adtomer\u2019s account, in whole or in part. Block\u00ading or dele\u00adtion is espe\u00adcial\u00adly pos\u00adsi\u00adble if the con\u00adtin\u00adu\u00ada\u00adtion of this agree\u00adment can\u00adnot be rea\u00adson\u00adably expect\u00aded due to the vio\u00adla\u00adtion of these pro\u00advi\u00adsions, tak\u00ading into account all cir\u00adcum\u00adstances of the indi\u00advid\u00adual case, in par\u00adtic\u00adu\u00adlar a fault sit\u00adting with the Cus\u00adtomer, and tak\u00ading into account the mutu\u00adal inter\u00adests of both Parties.<\/p>\n\n\n\n

4.3  Easy\u00adgrad\u00ading\u2019s right to ter\u00admi\u00adnate for good cause remains unaf\u00adfect\u00aded. The same applies to the asser\u00adtion of oth\u00ader claims against the Customer.<\/p>\n\n\n\n

5  Availability<\/h2>\n\n\n\n

5.1  easy\u00adgrad\u00ading endeav\u00adors to ensure max\u00adi\u00admum avail\u00adabil\u00adi\u00adty of the Por\u00adtal. For the Basic and Pro\u00adfes\u00adsion\u00adal Ver\u00adsions, easy\u00adgrad\u00ading ensures that the Por\u00adtal is avail\u00adable 95% in one year. Exclud\u00aded from this are times in which the servers can\u00adnot be reached due to tech\u00adni\u00adcal or oth\u00ader issues which are beyond the con\u00adtrol of easy\u00adgrad\u00ading (e.g. force majeure, fault of third parties).<\/p>\n\n\n\n

5.2  In order to car\u00adry out nec\u00ades\u00adsary main\u00adte\u00adnance work, access to the Por\u00adtal is not avail\u00adable dai\u00adly for a peri\u00adod of up to 90 min\u00adutes between 3:00 and 5:00 CET. The rules on the avail\u00adabil\u00adi\u00adty of the Por\u00adtal do not apply to this peri\u00adod. Easy\u00adgrad\u00ading may also restrict access to the Por\u00adtal if secu\u00adri\u00adty of net\u00adwork oper\u00ada\u00adtions, main\u00adte\u00adnance of net\u00adwork integri\u00adty, in par\u00adtic\u00adu\u00adlar the avoid\u00adance of seri\u00adous dis\u00adtur\u00adbances of the net\u00adwork, soft\u00adware or stored data does so require; these times are also not tak\u00aden into account when cal\u00adcu\u00adlat\u00ading the availability.<\/p>\n\n\n\n

5.3  easy\u00adgrad\u00ading is not respon\u00adsi\u00adble for errors in the con\u00adnec\u00adtion to the Por\u00adtal or to the Cus\u00adtomers. If a con\u00adnec\u00adtion is not avail\u00adable, this does not con\u00adsti\u00adtute unavail\u00adabil\u00adi\u00adty in the mean\u00ading of this sec\u00adtion 5.<\/p>\n\n\n\n

6  Liability<\/h2>\n\n\n\n

easy\u00adgrad\u00ading shall be liable with\u00adout lim\u00adi\u00adta\u00adtion for inten\u00adtion\u00adal or gross\u00adly neg\u00adli\u00adgent acts, as well as for injury to life, limb or health, and in accor\u00addance with the pro\u00advi\u00adsions of the Ger\u00adman Prod\u00aduct Lia\u00adbil\u00adi\u00adty Act. In all oth\u00ader cas\u00ades, easy\u00adgrad\u00ading shall only be liable to the Cus\u00adtomer for dam\u00adages, typ\u00adi\u00adcal\u00adly fore\u00adsee\u00adable and for all dam\u00adages in a con\u00adtrac\u00adtu\u00adal year only to the amount of the total remu\u00adner\u00ada\u00adtion paid for this year. Any fur\u00adther lia\u00adbil\u00adi\u00adty of easy\u00adgrad\u00ading is excluded.<\/p>\n\n\n\n

7  Privacy<\/h2>\n\n\n\n

The pro\u00advi\u00adsions on data pro\u00adtec\u00adtion are includ\u00aded in the con\u00adtract for order data pro\u00adcess\u00ading (\u201cAuf\u00adtrags\u00addaten\u00adver\u00adar\u00adbeitung\u201d), which the Cus\u00adtomer must con\u00adclude with easy\u00adgrad\u00ading upon reg\u00adis\u00adtra\u00adtion. This does not apply to test mem\u00adber\u00adship, where the Cus\u00adtomer may only use test data that does not refer to any nat\u00adur\u00adal person.<\/p>\n\n\n\n

8  Final clause<\/h2>\n\n\n\n

8.1  Easy\u00adgrad\u00ading reserves the right to make amend\u00adments and changes to the con\u00adtent of these terms and con\u00addi\u00adtions, pro\u00advid\u00aded amend\u00adments and changes are rea\u00adson\u00adable for the Cus\u00adtomer, tak\u00ading into account the inter\u00adests of easy\u00adgrad\u00ading.
(a)  This is in par\u00adtic\u00adu\u00adlar the case if an amend\u00adment and change of the con\u00addi\u00adtions is nec\u00ades\u00adsary for the adap\u00adta\u00adtion to fur\u00adther devel\u00adop\u00adments of the Por\u00adtal or due to changed legal reg\u00adu\u00adla\u00adtions. easy\u00adgrad\u00ading shall send the amend\u00aded and changed terms and con\u00addi\u00adtions to the Cus\u00adtomer no lat\u00ader than six weeks before they come into effect.
(b)  The Cus\u00adtomer is enti\u00adtled to ter\u00admi\u00adnate the con\u00adtract extra\u00ador\u00addi\u00adnar\u00adi\u00adly imme\u00addi\u00adate effect with\u00adin six weeks from receipt of the change dec\u00adla\u00adra\u00adtion after an amend\u00adment and change of the con\u00addi\u00adtions. If the Cus\u00adtomer does not ter\u00admi\u00adnate with\u00adin this peri\u00adod in writ\u00ading, the amend\u00adments and changes become part of the con\u00adtract. The Cus\u00adtomer will be informed of this con\u00adse\u00adquence for the change notification.<\/p>\n\n\n\n

8.2  Ver\u00adbal ancil\u00adlary agree\u00adments to the con\u00adtract are invalid. Changes or addi\u00adtions require the text form. This also applies to the can\u00adcel\u00adla\u00adtion of this for\u00admal clause.<\/p>\n\n\n\n

8.3  The law of the Fed\u00ader\u00adal Repub\u00adlic of Ger\u00admany shall apply to these terms and con\u00addi\u00adtions to the exclu\u00adsion of the UN Con\u00adven\u00adtion on Con\u00adtracts for the Inter\u00adna\u00adtion\u00adal Sale of Goods. The exclu\u00adsive place of juris\u00addic\u00adtion for all dis\u00adputes aris\u00ading direct\u00adly or indi\u00adrect\u00adly from the con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship is Berlin.<\/p>\n\n\n\n

8.4  Only the Ger\u00adman ver\u00adsion of these terms and con\u00addi\u00adtions is bind\u00ading. If these terms and con\u00addi\u00adtions are trans\u00adlat\u00aded into oth\u00ader lan\u00adguages, they shall serve as a read\u00ading ver\u00adsion exclu\u00adsive\u00adly for the Cus\u00adtomer\u2019s information.<\/p>\n\n\n\n
